Seazonal is a digital procurement platform that connects food businesses (restaurants, hotels, cloud kitchens, caterers, and retailers) with growers, producers, and suppliers. Our Services include but are not limited to:

• Product browsing, ordering, and procurement through our platform
• Price comparison and transparent pricing tools
• Order tracking and delivery coordination
• Supplier onboarding and partnership management
• Customer support and account management

4. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are found to contain inaccurate information.

5. Orders and Transactions

When you place an order through our platform:

• All orders are subject to product availability and confirmation

• Payment terms will be communicated during onboarding and may vary based on account type

6. Product Quality and Returns

We strive to maintain high quality standards across our supply network. However:

• Product images and descriptions are for reference purposes and may vary slightly from actual products
• Quality complaints must be raised within 24 hours of delivery with supporting evidence (photos)
• Refunds or replacements for legitimate quality issues will be processed as per our return policy
• Perishable goods are subject to specific return conditions due to their nature

7. Delivery

Delivery timelines are estimates and may vary based on factors including location, product availability, weather, and operational capacity. We will make reasonable efforts to deliver products within communicated timelines but shall not be held liable for delays beyond our control.

All content on the Seazonal platform, including but not limited to text, graphics, logos, icons, images, software, and technology, is the property of Seazonal or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

9. Prohibited Conduct

You agree not to:

• Use our Services for any unlawful or fraudulent purpose
• Interfere with or disrupt the platform's functionality
• Attempt to gain unauthorized access to our systems or networks
• Scrape, harvest, or collect data from our platform without permission
• Impersonate another person or entity
• Engage in any activity that could harm our reputation or business interests

10. Limitation of Liability

To the maximum extent permitted by applicable law, Seazonal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our Services. Our total liability shall not exceed the amount paid by you for the specific order giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Seazonal, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, all outstanding obligations (including payment obligations) shall survive.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
